Welcome to the Verdantix website. We encourage you to access and benefit from the content, tools and features that we make available to you. If you purchase any subscription products, individual reports, consulting projects or other services from Verdantix ("Services"), the terms of use for those Services will be set forth in a separate purchase agreement between you and Verdantix. These Terms of Use will not in any way change or limit your rights and obligations under your Verdantix purchase agreement.
These Terms of Use apply to all Verdantix-owned websites, software applications, digital applications, search tools, artificial intelligence (AI) models, AI agents and online databases (each a “Site” and collectively “the Sites”). By continuing to use these Sites, you (the “User”) agree to be bound by these Terms of Use. The applicable Terms vary based on the type of access that you have requested, which may or may not be covered by a commercial contract between your employer and Verdantix.
Use Of The Sites
Verdantix reserves the right to change, delete or add to the Content at its sole discretion and without notice to any Users. Your continued use of the Sites after any such changes constitutes your agreement to these Terms of Use.
You are granted a limited, non-exclusive, non-transferable right to access and use the Sites, including the written text, charts, tables, graphics, images, infographics, icons, photographs, logos, branding, marks, audio recordings, video recordings, scripts, code and any other works (singly or collectively, the “Content”) solely for your personal or internal business purposes.
You may view, download and print Content for these purposes only, provided that: (1) you do not modify the Content in any way; (2) you retain all copyright, trademark and other proprietary notices contained in the Content; (3) you do not use the Content for any commercial exploitation, resale or distribution without prior written consent from Verdantix; (4) you do not use the Content as input for any AI systems, machine learning models or automated data processing tools.
Any use of the Sites or Content beyond these permitted purposes is strictly prohibited and may result in termination of your access, and legal action.
You agree to use the Sites and Content in accordance with all applicable laws, including but not limited to the Copyright, Designs and Patents Act 1988 (CDPA) and the Copyright and Rights in Databases Regulations 1997, and/or such laws as apply in a User’s jurisdiction. You agree not to take any action that would compromise the security of the Sites or render the Sites inaccessible to others, including but not limited to gaining unauthorized access to Restricted Areas, interfering with the proper functioning of the Sites, circumventing a Site’s security measures, performing data harvesting and extracting source code.
The Content on these Sites is produced through the reasonable efforts of Verdantix to compile and analyse information from sources believed to be reliable at the time of publication. Any opinions expressed within the Content reflect the judgment of Verdantix at the time of creation and are subject to change without notice. Verdantix does not guarantee the accuracy, completeness or timeliness of the Content and accepts no liability for reliance placed upon it. You acknowledge that information provided to you from our AI tools, models and agents may contain errors and unvetted third-party content.
Restricted Areas
Certain areas of the Sites are restricted and require a valid username and password for access (“Restricted Areas”). These credentials are provided solely for your personal or organizational use and must remain confidential. Unless you have been issued with a password by Verdantix or Verdantix has authorized your employer to issue you with a password, you are not authorized to access any password-restricted areas.
If you are a User with a password, you must keep your username, password and other login credentials confidential and secure. You must not share, disclose or transfer your login credentials to any other person or entity. You are responsible for all activities conducted through your password-controlled account. If you suspect unauthorized use, you must notify us immediately. Accounts are for individual use only. Access to the Sites by multiple Users through a single username and password is prohibited. We reserve the right to suspend access to the Sites and terminate accounts where password sharing or unauthorized access is detected. If your account has been suspended by Verdantix, we will contact you to share information on the suspicious activity. Unauthorized access or sharing of credentials may constitute an offence under the Computer Misuse Act 1990.
User Content
You may be permitted to submit, upload, publish or otherwise provide content (“User Content”) to the Sites. You are solely responsible for any content you create, submit or publish on the Sites (“User Content”). This includes ensuring that your User Content complies with all applicable laws and regulations, including the Defamation Act 2013, the Copyright, Designs and Patents Act 1988 and the Data Protection Act 2018/UK General Data Protection Regulation (GDPR); does not infringe any intellectual property rights, privacy rights or other legal rights of any third party; is accurate, lawful and does not contain any material that is defamatory, obscene, discriminatory or otherwise harmful; and does not contain any confidential information. Verdantix does not endorse, monitor or assume any responsibility for User Content submitted, uploaded or published on the Sites. All User Content is the sole responsibility of the individual who created or provided it. Verdantix shall not be liable for any loss, damage or claims arising from User Content, including but not limited to its accuracy, legality or compliance with applicable laws. You acknowledge that any reliance on User Content is at your own risk. Verdantix reserves the right, but not the obligation, to monitor, edit or remove any User Content for any reason.
You retain ownership of any content you create, submit or publish on the Sites (“User Content”). However, by providing User Content, you grant Verdantix a non-exclusive, worldwide, royalty-free, perpetual and transferable licence to use, reproduce, distribute, display, store and create derivative works from the User Content for the purposes of operating, improving and promoting the Sites and Verdantix’s Services. This licence includes the right to sublicense to our affiliates and service providers as necessary.
Verdantix does not claim exclusive ownership of your User Content, and you may continue to use and license your content to others. You acknowledge that this licence survives termination of your account or these Terms.
Third-Party Links
The Sites may contain links to third-party websites or resources. These links are provided for your convenience only. Verdantix does not endorse, monitor or assume any responsibility for the content, products, services or practices of any third-party websites. Accessing third-party sites is at your own risk, and you agree that Verdantix shall not be liable for any loss or damage arising from your use of such sites.
You acknowledge that third-party websites are governed by their own terms and privacy policies and that Verdantix has no control over and accepts no responsibility for their compliance with applicable laws.
Disclaimer Of Warranties
These Sites and all Content are provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied. Verdantix does not warrant that the Sites will be uninterrupted, error-free and secure, or free from viruses, omissions, hallucinations or other harmful components. To the fullest extent permitted by law, Verdantix disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property or proprietary rights of any third party.
Nothing in these Terms excludes or limits any warranty or liability that cannot be excluded or limited under the laws of England and Wales, including liability for death or personal injury caused by negligence or fraud.
Indemnification
You agree to indemnify, defend and hold harmless Verdantix, its affiliates, officers, employees and agents from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with: (1) your use of the Sites or their Content; (2) any breach of these Terms of Use by you; (3) any User Content you submit, upload or publish that infringes the rights of any third party or violates applicable law. This indemnity obligation will survive termination of these Terms and your use of the Sites.
Limitations Of Liability
To the fullest extent permitted by law, Verdantix excludes all liability (whether in contract, tort – including negligence – statute or otherwise) for: (1) any indirect, consequential or special losses, including (without limitation) loss of profit, revenue, business, contracts, opportunity, goodwill, anticipated savings or data; (2) losses arising from business interruption, loss of use of the Sites or Content, or costs ofU procuring substitute goods or services; (3) losses resulting from reliance on any Content (including outputs generated by AI) or decisions made on the basis of the Sites or Content; (4) losses caused by incompatibility of the Sites with your systems, software or devices, or by internet or network outages, delays or failures; (5) losses arising from your access to or use of third‑party websites, services, content or resources linked from the Sites; (6) losses arising from User Content submitted, uploaded or published by Users, including claims of infringement, defamation, privacy or data protection breaches; and (7) losses arising from malware, viruses or other harmful components, or from phishing or other attacks, except where caused by Verdantix’s failure to use reasonable care and skill.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the laws of England and Wales (including, where applicable, statutory consumer rights).
Third-Party Rights
The Terms regarding Disclaimer of Warranty, Limitation of Liability and Indemnification are for the benefit of Verdantix, its licensors, employees and agents, each of whom shall have the right to assert and enforce those Terms against a User.
Restriction On Use
You agree to use these Sites and their Content only for lawful purposes and in accordance with these Terms. You must not: (1) copy, reproduce, distribute, transmit, display, perform, publish, modify or create derivative works from any part of the Sites or its Content without prior written consent from Verdantix; (2) use the ss or their Content for any commercial purpose or for the benefit of any third party without authorization; (3) remove, obscure or alter any copyright, trademark or other proprietary notices contained in the Content; (4) attempt to gain unauthorized access to any part of the Sites, their servers or connected systems, or interfere with the proper functioning of the Sites; (5) use automated tools, bots or scripts to access, scrape or harvest data from the Sites; (6) upload or transmit any viruses, malware or other harmful code; (7) take any action that, in the sole discretion of Verdantix, imposes an unreasonable burden on the Sites or their digital infrastructure; (8) use any Content from these Sites, in whole or in part, as input for any AI systems, machine learning models or automated data processing tools, including for the purposes of training, fine-tuning or generating derivative works. This prohibition applies to all forms of AI, whether commercial or non-commercial, and includes any activity that involves scraping, harvesting or otherwise extracting Content for AI-related purposes; or (9) engage in any activity that violates applicable laws, including intellectual property, data protection and computer misuse laws.
Verdantix reserves the right to suspend or terminate your access if you breach these restrictions.
Copyright & Trademark Notices
All Content on these Sites, including but not limited to text, graphics, images, logos, audio, video, data compilations and software, is protected by copyright under the Copyright, Designs and Patents Act 1988 and other applicable intellectual property laws. Verdantix and its licensors retain all rights, title and interest in such Content.
All trademarks, service marks and logos displayed on the Sites are the property of Verdantix or their respective owners. You are not permitted to use any trademarks or logos without prior written consent from Verdantix or the relevant rights holder.
Unauthorized use of any Content or trademarks may result in civil or criminal liability under UK law.
General
Verdantix may terminate a User's access to these Sites at any time, for any reason. Any provisions of these Terms that by their nature should survive termination shall remain in effect after termination, including but not limited to clauses relating to intellectual property rights, restrictions on use, disclaimer of warranties, limitations of liability, indemnity, governing law and jurisdiction.
Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
